Terms and Conditions and Customer Information

I. General Terms and Conditions

§ 1 Basic provisions

(1) The following terms and conditions apply to contracts that you conclude with us as the provider (ViPiBaX GmbH) via the website Vipibax.de. Unless otherwise agreed, we object to the inclusion of any terms and conditions of your own that you may use.

(2) For the purposes of the following provisions, a consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade or independent professional activity. A trader is any natural or legal person or partnership with legal capacity who, when entering into a legal transaction, acts in the exercise of their independent professional or commercial activity.

§ 2 Conclusion of the contract

(1) The subject of the contract is the sale of goods.

Our offers on the internet are non-binding and are not a binding offer to conclude a contract.

(2) You can submit a binding purchase offer (order) via the online shopping cart system.

The goods you intend to buy are placed in the "shopping cart". You can open the "shopping cart" with the corresponding button in the navigation bar and make changes there at any time. After you click the button "Checkout" or "Continue to order" (or a similar label) and enter your personal data and the payment and shipping conditions, the order data are finally shown to you as an order summary.

Before you submit the order, you can check the details in the order summary again, change them (also with the "back" function of your internet browser) or cancel the order.

By submitting the order with the corresponding button ("order with obligation to pay", "buy" / "buy now", "place order subject to payment" or a similar label), you make a binding offer to us.

You will first receive an automatic email confirming that we have received your order. This email does not yet conclude the contract.

(3) We accept the offer (and the contract is thereby concluded) within 2 days by a confirmation in text form (e.g. email) in which we confirm to you that the order will be carried out or the goods delivered (order confirmation).

If you have not received such a message, you are no longer bound by your order. In this case, anything you have already provided will be returned to you without undue delay.

(4) The order is processed, and all information required in connection with the conclusion of the contract is sent, by email, partly automatically. You must therefore make sure that the email address you have given us is correct, that you can technically receive the emails and, in particular, that spam filters do not prevent their receipt.

§ 3 Special agreements on the payment methods offered

(1) Payment via "Stripe"

If you choose a payment method offered via "Stripe", the payment is processed by the payment service provider Stripe Payments Europe Limited (1 Grand Canal Street Lower, Grand Canal Dock, Dublin, D02 H210, Ireland; "Stripe"). The individual payment methods via "Stripe" are shown to you under a correspondingly labelled button on our website and in the online ordering process. "Stripe" may use other payment services to process the payment; if special payment conditions apply to these, you will be informed of them separately. You can find more information about "Stripe" at https://stripe.com/de.

§ 4 Right of retention, retention of title

(1) You can only exercise a right of retention if it concerns claims from the same contractual relationship.

(2) The goods remain our property until the purchase price has been paid in full.

§ 5 Warranty

(1) The statutory rights for defects apply.

(2) As a consumer, you are asked to check the goods for completeness, obvious defects and transport damage immediately upon delivery and to report any complaints to us and to the carrier as soon as possible. If you do not do this, it has no effect on your statutory warranty claims.

(3) If a feature of the goods deviates from the objective requirements, the deviation is only deemed to be agreed if we informed you of it before you made your contractual declaration and the deviation was expressly and separately agreed between the contracting parties.

§ 6 Choice of law, place of performance, place of jurisdiction

(1) German law applies. For consumers, this choice of law applies only insofar as it does not deprive them of the protection granted by mandatory provisions of the law of the state in which the consumer has their habitual residence (favourability principle).

(2) The place of performance for all obligations arising from the business relationships with us, and the place of jurisdiction, is our registered office if you are not a consumer but a merchant, a legal entity under public law or a special fund under public law. The same applies if you have no general place of jurisdiction in Germany or the EU, or if your domicile or habitual residence is not known at the time the action is brought. The right to bring an action before a court at another statutory place of jurisdiction remains unaffected.

(3) The provisions of the UN Convention on Contracts for the International Sale of Goods expressly do not apply.

4. Essential characteristics of the goods or services

5. Prices and payment terms

5.1. The prices stated in the respective offers and the shipping costs are total prices. They include all price components, including all applicable taxes.

5.2. The applicable shipping costs are not included in the purchase price. You can view them via a correspondingly labelled button on our website or in the respective offer. They are shown separately during the ordering process and you pay them in addition, unless free delivery has been promised.

5.3. If the goods are delivered to countries outside the European Union, further costs for which we are not responsible may arise, such as customs duties, taxes or money transfer fees (transfer or exchange rate fees of the banks). You pay these costs.

5.4. You pay the costs of transferring money (transfer or exchange rate fees of the banks) in cases where the goods are delivered to an EU member state but the payment was made from outside the European Union.

5.5. The payment methods available to you are shown under a correspondingly labelled button on our website or in the respective offer.

6.2. If you are a consumer, the law provides that the risk of accidental loss and accidental deterioration of the goods sold during shipping only passes to you when the goods are handed over to you, regardless of whether the shipment is insured or not. This does not apply if you have yourself commissioned a transport company not named by the trader, or another person designated to carry out the shipment.

7. Statutory liability for defects

Liability for defects is governed by the provision "Warranty" in our General Terms and Conditions (Part I).
